  • "Agreement" refers to these Terms and Conditions together with any engagement letter or service contract.
  • "Personal Data" has the meaning defined in Thailand's Personal Data Protection Act.

2. Acceptance of Terms

By accessing our website, submitting an inquiry, or engaging our legal services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These Terms and Conditions constitute a legally binding agreement between you and Verdant Law. Specific services may be subject to additional terms outlined in engagement letters provided during the consultation process.

3. Eligibility and Capacity

Our services are available to individuals aged 18 years or older who have the legal capacity to enter into binding agreements under Thai law. If you are engaging our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

By using our services, you confirm that all information provided is accurate, complete, and current. You agree to update us promptly if any information changes during our engagement.

4. Scope of Services

4.1 Legal Services Provided

Verdant Law provides legal counsel in the following areas:

  • Immigration and visa matters within Thailand
  • Family law and personal affairs under Thai law
  • Intellectual property registration through Thai authorities

4.2 Service Limitations

Our services are limited to matters within our areas of expertise and the jurisdiction of Thailand. We do not provide:

  • Legal advice regarding laws outside Thailand
  • Criminal defense representation
  • Litigation services beyond those specified in engagement agreements
  • Tax advice or accounting services

4.3 Consultation Process

Initial consultations allow us to assess your situation and determine how we can assist. Following consultation, we provide a written summary of available options, recommended approaches, estimated timelines, and fee structures. Formal engagement begins upon mutual agreement to proceed with specified services.

5. Client Responsibilities

5.1 Information Accuracy

You agree to provide complete, accurate, and truthful information relevant to your legal matter. Withholding information or providing false statements may compromise our ability to serve your interests effectively and could result in adverse legal consequences.

5.2 Document Provision

You agree to provide requested documents promptly and in the format specified. Delays in document provision may extend processing timelines and could affect outcomes.

5.3 Communication

You agree to maintain regular communication, respond to inquiries in a timely manner, and inform us immediately of any changes in circumstances affecting your case.

5.4 Compliance

You agree to comply with all applicable laws and regulations during our engagement and to follow our counsel regarding procedural requirements and documentation.

6. Fees and Payment Terms

6.1 Fee Structure

Our fees are quoted in Thai Baht (฿) and specified in engagement letters. Fees cover legal counsel and document preparation services. Additional costs such as government filing fees, translation services, notarization, and courier expenses are separate and will be disclosed during consultation.

6.2 Payment Schedule

Payment terms are specified in engagement letters. Typically, an initial payment is required before work commences, with remaining fees due upon completion or according to agreed milestones.

6.3 Payment Methods

We accept payment via bank transfer to our designated Thai bank account. Payment details are provided in engagement letters and invoices.

6.4 Late Payment

Overdue payments may result in suspension of services until payment is received. We reserve the right to charge interest on overdue amounts at the rate permitted under Thai law.

6.5 Refund Policy

Fees for work already performed are non-refundable. If you terminate an engagement before completion, you remain responsible for fees covering work completed to that point. Any unused portions of advance payments may be refunded upon request.

7. Confidentiality and Attorney-Client Privilege

All information you provide is protected by attorney-client privilege under Thai law and professional ethics rules. We maintain strict confidentiality regarding all aspects of your case, subject only to:

  • Your explicit authorization to disclose information
  • Legal requirements to disclose (such as court orders)
  • Professional obligations to prevent serious harm or illegal activity

Our confidentiality obligations continue indefinitely, even after our engagement concludes. Please refer to our Privacy Policy for information about data handling practices.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is owned by Verdant Law or our licensors and protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.

8.2 Documents We Prepare

Legal documents prepared for your case are your property upon payment of all fees. However, our work product, including legal research, strategies, and methodologies, remains our intellectual property.

8.3 Your Intellectual Property

When we assist with intellectual property registration, the underlying IP rights remain yours. We claim no ownership over your trademarks, patents, or copyrights.

9. Disclaimers and Limitations

9.1 Professional Service Standard

We provide legal services with reasonable skill and care consistent with professional standards. However, we cannot guarantee specific outcomes or results. Legal processes involve inherent uncertainties including regulatory changes, government processing times, and discretionary decisions by authorities.

9.2 No Warranty of Results

We make no warranties regarding the outcome of any legal matter. Success depends on many factors beyond our control, including the merits of your case, government policies, and factual circumstances.

9.3 Website Content

Information on our website is provided for general informational purposes and does not constitute legal advice. Laws and regulations change frequently. For advice specific to your situation, please schedule a consultation.

9.4 Third-Party Actions

We are not responsible for actions or decisions made by government authorities, courts, or other third parties, even when we represent your interests before them.

10. Limitation of Liability

To the maximum extent permitted under Thai law:

  • Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
  • We shall not be liable for any indirect, consequential, special, or punitive damages, including lost profits or business opportunities.
  • We shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including government processing delays, force majeure events, or failures by third parties.

These limitations do not apply to liability that cannot be excluded or limited under Thai law, such as liability for intentional misconduct or gross negligence.

11. Indemnification

You agree to indemnify and hold harmless Verdant Law, its counsel, and employees from any claims, damages, or expenses arising from:

  • False or misleading information you provide
  • Your violation of these Terms and Conditions
  • Your violation of applicable laws or regulations
  • Your use of our services in an unauthorized manner

12. Termination of Services

12.1 Termination by Client

You may terminate our services at any time by providing written notice. You remain responsible for payment of fees covering work completed and non-refundable expenses incurred before termination.

12.2 Termination by Verdant Law

We may terminate our services if:

  • You fail to pay fees when due
  • You fail to cooperate or provide necessary information
  • A conflict of interest arises
  • Continuing representation would violate professional ethics rules
  • The attorney-client relationship becomes untenable

12.3 Effects of Termination

Upon termination, we will provide you with your case files and materials. We may retain copies for our records as permitted by professional standards. You remain responsible for any ongoing legal matters and deadlines affecting your case.

13. Dispute Resolution

13.1 Governing Law

These Terms and Conditions are governed by the laws of Thailand. Any disputes shall be resolved in accordance with Thai law.

13.2 Jurisdiction

The courts of Bangkok, Thailand shall have exclusive jurisdiction over any disputes arising from these terms or our services.

13.3 Informal Resolution

14. General Provisions

14.1 Entire Agreement

These Terms and Conditions, together with any engagement letter, constitute the entire agreement between you and Verdant Law regarding our services.

14.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations with reasonable notice to you.

14.5 Notices

All legal notices must be provided in writing to the contact information specified in these terms or as updated in engagement letters.

15. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our practices or legal requirements. Updated terms will be posted on our website with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the updated terms.

For engagements already underway, the terms in effect at the time of engagement shall govern unless mutually agreed otherwise in writing.
